License
Limited License
Subject to the terms and conditions of this Agreement, Celestica grants to Licensee a limited, non-exclusive, non-transferable, personal, revocable license to internally use the Software only in association with Celestica Products for the purpose specified in and in accordance with the Documentation. Licensee may allow a Permitted Third Party to exercise the foregoing rights solely for the purpose of providing services to Licensee and provided that such use is in compliance with this Agreement. Licensee shall be liable for any breach of this Agreement by any Permitted Third Party. The Software is licensed, not sold.
Trial License
If the Software is provided by Celestica to Licensee with Celestica Products for internal testing purposes ("Trial"), the license set out above shall be of a ninety (90) day limited duration from when the Celestica Products are delivered to Licensee unless stated otherwise by Celestica in writing ("Trial Period") and shall apply solely to the extent necessary to perform the Trial. Notwithstanding anything to the contrary in this Agreement, such license shall automatically terminate on the expiry of the Trial Period, or earlier if Licensee breaches any provision of this Agreement, and Section 5.3 of this Agreement shall apply. The Trial Period may be extended or terminated by Celestica in writing at any time in its sole discretion.
