Definitions
- Affiliate
- Means any entity controlling, controlled by, or under common control with Celestica LLC;
- Celestica Products
- Means hardware machine or components manufactured by Celestica or its Affiliate;
- Documentation
- Means all written technical and user documentation provided to Licensee during the term of this Agreement that relates to the Software;
- Intellectual Property Rights
- Means any patents, copyrights, trademarks, industrial designs, trade secrets, confidential information and other intellectual property rights;
- Permitted Third Party
- Means Licensee's authorized third party contractor providing services to Licensee;
- Software
Means software owned or licensed by Celestica or its Affiliate in object code form only and not source code form (and any licensed third party software embedded therein) and related data, and any part thereof, and Documentation. Software shall include any updates or modified versions of the Software that may be provided to Licensee by Celestica at its sole discretion, but excludes any Third Party Items; and
- Third Party Items
- Means Licensee or any Third Party Software, content, services and hardware products.
