The Software contains valuable trade secrets, proprietary and confidential information of Celestica and/or its Affiliates. Licensee, on its own behalf and on behalf of any Permitted Third Party, acknowledges and agrees that: (i) as between Celestica and Licensee (and any Permitted Third Party), Celestica has sole and exclusive ownership of all right, title and interest in and to the Software, including all applicable Intellectual Property Rights; and (ii) this Agreement does not provide Licensee and any Permitted Third Party with any right, title or interest in or relating to the Software whatsoever, except for the limited right to use provided in Section 2.1. Licensee agrees that it shall not refute or otherwise challenge Celestica's or any of its Affiliates' ownership of the Software and Intellectual Property Rights therein or thereto. All comments, ideas, changes or other feedback provided by Licensee and/or any Permitted Third Party to Celestica regarding the Software shall be owned by Celestica and/or its Affiliates.
